Effective January 2, 2007 World Wise, a Jamaican company is making this service available subject to these Terms and Conditions. By ticking the box when you register, you have accepted these Terms and Conditions. World Wise may at any time, in its sole discretion and without prior notice, amend these Terms and Conditions by posting amendments on our website ( www.WorldWisepartner.com ). Your continued use of our services, following posting of such amendments, will signify your acceptance of the amended Terms and Conditions. Communications with World Wise
World Wise welcomes your comments. However, World Wise does not accept or consider any creative ideas or suggestions relating to products or marketing plans unless it has specifically requested them in writing. Please do not send World Wise any creative or original materials. Any communication or material you transmit to us by electronic mail or otherwise, is, and will be treated as, non-confidential and non-proprietary.
Disclaimer of Warranty
World Wise does not warrant that our web site or its content or operation will be error free or uninterrupted, or that it will be free of viruses or other harmful components. You use the site at your own risk. Without limiting the foregoing, the site is provided without warranty of any kind, expressed or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Some jurisdictions may not allow exclusion of implied warranties, and the above exclusions may not apply to you.
Limitation of Liability
Neither World Wise, nor any third party involved in creating or delivering the website or any services will be liable under any theory (including negligence) for any incidental, consequential, indirect, special, or punitive damages arising out of your access to or use of the site, or your inability to use the site, even if World Wise had been advised of the possibility of such damages. In any event, World Wise's total liability under any theory arising out of the site or its use will be limited to $1,000.00 Jamaican dollars.
Risks of Partnership
We advise all our clients and prospective clients that although World Wise has a proven track record and has the will to produce beyond expectations, we by law have to advise you that, as with any business arrangement or agreement, there is the possibility of losses. Hence, nobody can guarantee that your capital (principal funds) is safe as it will be placed at risk in order to earn a profit. The maximum loss however is twenty percent of the account value. The profits earned are real and partnership businesses that we have formed as instructed by the partnership majority have been meeting their goals. However, we cannot guarantee any success. It is prudent to properly explore your equity management limitations before you agree to enter into a new partnership business.
Partnership Agreement and Your Money
You agree that the money you convey to World Wise is not an investment, loan or any form of securities instrument. The money we receive, with your permission is placed into the World Wise Partners' escrow bank account until your partnership business is registered with the Companies Office of Jamaica. The partners are then expected to formulate a lucrative business plan. The partners agree to elect World Wise as the secretary for the business. The secretary shall carry out daily the directives given by the partners. By signing the form overleaf, you empower the secretary to sign on the partners' behalf. Funds received by World Wise from the Partners represent the total start up capital of the business. Each individual partner, however, may have placed varying amounts of money into this capital start up fund. The individual amount each partner has deposited is noted in the partner's private account, given to each partner by World Wise prior to the registration of the partnership. This account is accessible on our website by the registered partner, with the use of a user name and password that is set by each account holder. This amount represents the total ownership share that each partner has in the business. The monthly profits that are made by the business are shared accordingly.
Withdrawal of Principal and Earnings
You agree to accept profits only on the amount you invested in your new partnership business, understanding that the profits are only made available to you at the end of each calendar month. Profits will be paid out within the first 5 working days of the following month. If you choose to collect a cheque monthly, this will be available from the 5 th working day. When you enter into your partnership agreement, profits will accrue prorated to the end of that month, but no profits will be payable until the end of the following month . This is in keeping with the policy where you have to be a partner for 30 days or more before profits are made payable.
You also agree that the profits you will receive each month will be set from time to time by how well the business does. You understand that World Wise does not guarantee any profits whether implied or otherwise expressed. Your principal is available to you at the end of each calendar month. However, you must give the secretary of your partnership at least seven days notice if you would like to withdraw your principal money. In order to withdraw profits, you must also give the secretary of the partnership seven days notice. Otherwise, your profits will be added to your principal and will not be available to you until the end of the following calendar month. If you have to withdraw unexpectedly, you will incur the 5% penalty discussed below and forfeit interest for that month if made before month end. To close out your account, there is a JA$2,000.00 charge by the Companies Office to deregister a partner. When depositing to our account, you agree to pay all bank charges to make the deposit, for example BOJ 0.757% cash handling fee.
Penalties Under the Partnership Agreement
The total account can be cashed out after 30 days subject to notice of 5 working days. However, profits only become available after the 30 th of the month. Hence, you will not receive profit on amounts withdrawn before the 30 th . Furthermore, there is a 5% penalty charge for withdrawals made before the 31 st .
Termination of Services
WorldWise reserves the right, at its sole discretion to terminate the services offered in respect of any partnership if it is of the view that it is prudent to do so, whether due to impropriety on the part of the partners in carrying out the partnership business, by operation of law or otherwise.
Procedure on Termination
In the event of such termination, the partners will be notified of termination and all funds held in the respective partnership accounts will be returned to the partners without deduction of any kind except as may be provided for in this Agreement.
Confidentiality
You agree that the inner workings of the partnership business is legal, but cannot be disclosed to non members or competitors as the workings, procedures and overall fundamentals of the business represent the partnership business's competitive advantage in a highly competitive marketplace. You also agree that you were not solicited by World Wise for investment purposes and you entered into this agreement of your own free will. Thank you for making it World Wise.
